Terms of Service

These Terms of Service (the “Terms”) form a binding agreement between you and softlane, a limited liability company (LLC) whose registered office is at 131 Continental Dr, Suite 305, Newark, DE 19713, United States (“softlane”, “we”). They govern your access to the softlane software marketplace and all related services (the “Platform”).

By creating an account, placing an order or otherwise using the Platform, you accept these Terms. If you do not agree, please do not use softlane.

softlane operates the softlane software marketplace and is the seller of record and Merchant of Record for every transaction concluded on it. Independent creators — publishers, developers and studios (the “Creators”) — list their software (scripts, plugins, templates, SaaS, automation tools and other digital products) on the Platform as independent third-party suppliers.

softlane is the seller of record and Merchant of Record for every purchase made on the Platform. In practice, when you place an order your sales contract is concluded exclusively with softlane. We are your counterparty: we present the offer, set the final price, accept your order, collect payment, calculate and apply any taxes due at checkout, and are responsible to you for the order as well as for refunds.

Creators are independent suppliers. They build their software and supply it to softlane for sale via the Platform, but they are not party to your purchase contract and you have no separate contractual relationship with a Creator. All of your rights and obligations as a buyer are exercised with softlane.

Because we are the seller of record, softlane stands behind every order: questions, licenses, refunds and disputes are handled by us in accordance with our Digital Delivery & Refunds Policy, with no direct negotiation with Creators. It is also “SOFTLANE” that appears on your card statement.

You must be at least 18 years old, or have the consent of a parent or legal guardian, to use the Platform. You are responsible for keeping your credentials confidential and for any activity carried out from your account. Let us know promptly if you suspect any unauthorized use.

Listings are an invitation to order. A binding contract is formed when softlane accepts your order. The price you pay is the one shown at checkout, plus applicable VAT and taxes, in the displayed currency. Because our products are digital, there are no shipping or handling fees.

Payments are processed by our payment provider. We do not store full card numbers on our servers. If payment cannot be completed, your order will not be fulfilled. We may cancel an order and refund you if a piece of software is displayed at an incorrect price, is unavailable, or if the order appears fraudulent.

Software is delivered digitally: as soon as payment is confirmed, your download and, where applicable, your license key are made available instantly in your account and by email. Each product is supplied under the license shown on its listing, whose terms you are responsible for respecting. As seller of record, softlane remains responsible to you for the proper delivery of your order. Full details are set out in our Digital Delivery & Refunds Policy.

Refunds and cancellations are governed by our Digital Delivery & Refunds Policy, which forms an integral part of these Terms. softlane handles all refunds.

Because our products are digital, two regimes apply. For one-time downloads (single purchase), you consent, before downloading, to immediate performance and expressly waive your right of withdrawal once the download has begun, in accordance with consumer law applicable to digital content supplied on an intangible medium; after that point, no refund is due unless the software is defective or was not delivered. For SaaS subscriptions, you keep your 14-day right of withdrawal, with actual usage during that period potentially deducted.

Every order is also covered by softlane Buyer Protection.

If you open a shop, you act as an independent supplier to softlane. You authorize softlane to present and sell your software to buyers as seller of record, and you are responsible for the accuracy of your listings, the right to commercialize and license each product, compliance with applicable laws, and the digital delivery and support associated with your orders.

softlane charges a commission of 5% + $0.25 on the total of each completed sale; the commission is deducted before payout. Payouts are made via our payment provider and may be held in protected funds for a clearing period after the sale before being released. You may only list software you are legally entitled to distribute and license. Prohibited software is listed in section 10.

You retain the rights to the code, visuals, text and other content you upload, and you grant softlane a worldwide, non-exclusive, royalty-free license to host, display, distribute and deliver it in order to operate and promote the Platform. You warrant that your software and content do not infringe anyone’s rights, in particular intellectual property rights, and do not violate any law. softlane operates a notice-and-takedown (DMCA) procedure and a repeat-infringer termination policy.

Do not use the Platform to deceive others, circumvent fees, infringe intellectual property, harass other users or break the law. We may suspend, restrict or remove accounts, shops or listings that violate these Terms or that, in our reasonable judgment, present a risk.

The following are prohibited in particular: malware, viruses, trojans and ransomware; pirated, “nulled” or counterfeit code, and any software distributed without a valid license; credential stealers and keyloggers; hidden cryptocurrency-mining scripts; cheating, fraud or security-bypass tools; and any software designed for illegal use. Every listed product is reviewed and may undergo an automated security scan.

Except for the responsibilities softlane expressly assumes as seller of record under these Terms and our Digital Delivery & Refunds Policy, the Platform and the software are provided “as is” and “as available”. To the fullest extent permitted by law, softlane is not liable for indirect, incidental or consequential damages, and our total liability for any claim relating to an order is limited to the amount you paid for that order.

Nothing in these Terms limits the mandatory rights you have under consumer law, in particular the legal guarantee of conformity applicable to digital content and services, which cannot be waived.

Creators agree to indemnify and hold softlane harmless against any claim, loss or expense arising from their listings, their software, their licenses or their breach of these Terms.

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Any dispute is subject to the competent courts of the State of Delaware, subject to the mandatory consumer-protection rules that, depending on your country of residence, may allow you to bring proceedings before your local courts. Consumers in the European Union may also use the European online dispute resolution platform.

We may update these Terms from time to time. In the event of a material change, we will take reasonable steps to inform you. Continuing to use the Platform after an update constitutes acceptance of the revised Terms.
